COLONIAL ELECTRIC SUPPLY COMPANY
VENDOR REPRESENTATIVE ETHICS POLICY
1. Vendor sales representatives (“vendor rep”) shall not propose, entertain or enter into any illegal, collusive or unethical
arrangement with any employee or customer of The Colonial Electric Supply
Company (“Colonial”). In the event a vendor rep becomes aware of any discussion
about any such arrangement, it will be expected to immediately report this
information to Colonial’s President.
2. Vendor reps are required to obtain permission from
Colonial’s Vice President, Supply Chain (“VP Supply Chain”) prior to offering
any economic incentives to sales people, regardless of form. A vendor rep shall
not provide cash or cash equivalents to any Colonial employee for any reason
without first obtaining written permission from Colonial senior management.
3. Vendor reps are required to notify VP Supply Chain of
any incentive program for which Colonial or its employees may be eligible. Any
participation in any such program must be arranged and all rewards, options and
prizes distributed through Colonial’s VP Supply Chain. A vendor rep shall not
provide any awards or prizes directly to a Colonial employee without written
consent.
4. Vendor reps may entertain Colonial employees from time
to time; however, any such entertainment shall be limited to $100 per
occurrence, and $250 per month, unless pre-approved in writing by Colonial’s VP
Supply Chain.
5. Vendor reps may not provide free product or discounts
to any Colonial employee without pre-approval from Colonial’s VP Supply Chain.
Any such free product or discounts shall apply equally to all Colonial
employees.
6. Vendor reps are expected to be familiar with
Colonial’s policies and procedures and are required to follow all applicable
Colonial policies and procedures as well as those in place at the companies
they represent. Colonial employees and vendor reps must be truthful and
forthright in all dealings with each other. Gifts or services in exchange for
preferential treatment are forbidden.
7. While visiting, vendor reps shall: report in to the
receptionist or manager, wear appropriate visitor identification provided, not
use unmanned desks, and restrict the use of equipment such as phones and copy
machines to Colonial related business.
8. Vendor reps are strictly forbidden from offering
alternative employment opportunity information to Colonial employees. Such an
occurrence will result in a lifetime ban from the premises.
9. Vendor reps are expected to disclose to Colonial’s VP
Supply Chain any matters that might implicate any of the subjects covered by
these policy provisions. Anything not specifically covered should prompt a
discussion with Colonial’s VP Supply Chain.
Failure to adhere to
this policy may result in the vendor rep being banned from Colonial premises
and vendor’s lines dropped.
Colonial reserves the
right to take action against the vendors and/or their representatives or their
employers for direct violations of this policy.
